How to Register an NGO or Church in Ghana (Company Limited by Guarantee)

In Ghana, an NGO, church, foundation or other non-profit is registered as a Company Limited by Guarantee under the Companies Act, 2019 (Act 992), using Form 3B. There are no shares — instead, members guarantee a nominal amount.

What you need

Your proposed name (ending in LBG / Limited by Guarantee), a clear statement of your objects (the charitable or non-profit purpose), at least two executive council members / directors with one resident in Ghana, subscribers (founding members), and Ghana Cards and TINs for the officers.

Stating your objects

Churches, NGOs and CSOs must clearly state their objects on the form. Vague objects are a common cause of rejection, so be specific about what your organisation does.

After ORC registration

Depending on your activities, you may also need to register with other bodies — for example the Department of Social Welfare for NGOs. Churches and CSOs have their own additional registrations. We will point you to what applies.
